Welcome to PickGee.com (“PickGee”, “we”, “us”, “our”). These Terms and Conditions (“Terms”) govern your access to and use of the PickGee website, mobile application, and all related services (collectively, the “Platform”). PickGee is an online marketplace that connects buyers and independent sellers/vendors.

By accessing or using PickGee.com, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, please do not use the Platform.

1. Eligibility

You must be at least 18 years old to create an account or transact on PickGee.
By using the Platform, you represent that you have the legal capacity to enter into a binding agreement under Nigerian law.

2. Nature of the Platform

PickGee is a marketplace platform only.
PickGee does not own, sell, resell, inspect, store, or deliver products listed by vendors.
Contracts for sale are formed directly between buyers and vendors.
PickGee is not a party to any transaction between users, except where expressly stated.

3. User Accounts

You must provide accurate, current, and complete information when creating an account.
You are responsible for maintaining the confidentiality of your login credentials.
You are fully responsible for all activities that occur under your account.
PickGee reserves the right to suspend or terminate accounts that provide false information or violate these Terms.

4. Vendor Obligations

If you register as a vendor, you agree that:

You have the legal right to sell the products or services you list.
All listings must be accurate, lawful, and not misleading.
Products must not violate Nigerian laws, intellectual property rights, or public morality.
You are solely responsible for:
- Product quality and safety
- Pricing and descriptions
- Delivery and fulfilment
- Returns, refunds, and warranties (unless otherwise stated)
PickGee may charge commissions, service fees, or subscription fees as disclosed on the Platform.

5. Buyer Obligations

As a buyer, you agree that:

You will provide accurate delivery and contact information.
You will make payments using authorized payment methods only.
You will not abuse, harass, or defraud vendors or PickGee.
Disputes should be raised in good faith through PickGee’s dispute channels.

6. Payments and Transactions

PickGee may use third-party payment processors.
PickGee does not store your card or banking details.
Transaction fees, commissions, subscription fees, or service charges may apply and will be disclosed before payment.
PickGee is not responsible for failed payments caused by banks, payment gateways, or third parties.

7. Logistics, Delivery, and Shipping

PickGee may partner with third-party logistics and delivery providers (“Logistics Partners”).
Delivery services may be provided by vendors, Logistics Partners, or both.
PickGee does not guarantee delivery times, accuracy, or availability of Logistics Partners.
Risk of loss and responsibility for delivery rest with the vendor until the buyer receives the product, unless otherwise stated.
PickGee shall not be liable for delays, loss, damage, or failure in delivery caused by vendors or Logistics Partners.

8. Returns, Refunds, and Disputes

Return and refund policies are primarily determined by individual vendors.
PickGee may provide a dispute resolution process but does not guarantee refunds.
PickGee reserves the right to make a final decision in disputes where platform abuse is detected.

9. Digital Products and Services

Vendors may offer digital products or services, including but not limited to downloadable content, subscriptions, online consultations, or virtual services.
Digital products may become accessible immediately after payment.
Except where required by law or expressly stated, digital products and services are non-refundable once delivered or accessed.
Vendors are solely responsible for the quality, legality, and performance of their digital products or services.
PickGee is not responsible for interruptions, technical failures, or incompatibility related to digital products.

10. Prohibited Activities

You agree not to:

Use the Platform for unlawful purposes
List prohibited or counterfeit items
Manipulate prices or ratings
Upload viruses, malicious code, or harmful content
Circumvent PickGee’s systems or fees
Impersonate any person or entity

11. Subscription Plans, Vendor Fees, and Commissions

PickGee may offer subscription plans or paid features to vendors.
Subscription benefits, pricing, billing cycles, and cancellation terms will be displayed on the Platform.
Subscription fees are non-refundable unless otherwise stated.
PickGee may charge commissions on completed transactions.
PickGee reserves the right to modify fees or commission structures with prior notice.

12. Intellectual Property

All PickGee logos, trademarks, content, and platform design belong to PickGee or its licensors.
Users may not copy, reproduce, or exploit any part of the Platform without written permission.
Vendors grant PickGee a non-exclusive license to use product images and descriptions for marketing.

10. Content and Reviews

Users may post reviews and content that are lawful and respectful.
PickGee reserves the right to remove content that is false, abusive, or misleading.
Reviews must reflect genuine experiences.

11. Limitation of Liability

To the maximum extent permitted by law:

PickGee is provided “as is” and “as available”.
PickGee shall not be liable for:
- Product defects
- Vendor actions or omissions
- Losses arising from transactions between users
PickGee’s total liability shall not exceed the fees paid by you to PickGee in the preceding 3 months.

12. Indemnification

You agree to indemnify and hold PickGee harmless from any claims, losses, damages, liabilities, or expenses arising from:

Your use of the Platform
Your violation of these Terms
Your violation of any law or third-party rights

13. Suspension and Termination

PickGee may suspend or terminate your account without prior notice if you violate these Terms.
You may close your account at any time, subject to outstanding obligations.

14. Privacy

Your use of PickGee is also governed by our Privacy Policy, which explains how we collect and process personal data in compliance with the Nigeria Data Protection Act (NDPA).

15. Amendments

PickGee reserves the right to modify these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the updated Terms.

16. Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria. Nigerian courts shall have exclusive jurisdiction.
